Terms of Service — Apetopia

1. Acceptance of Terms

By accessing or using Apetopia ("the Service", "we", "us"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service. These terms apply to all visitors, users, and community owners who register on the platform.

2. Description of Service

Apetopia is a SaaS platform providing 60+ tools for Discord community builders. It provides tools including community analytics, giveaways, raffles, reaction roles, holder verification, holder snapshots, Mystery Box, airdrop tools, AI-powered features (Silverback AI), NFT collection management, and related services. The Service is accessed via web application at apetopia.co and its subdomains.

Certain features integrate with the Solana and Ethereum blockchains for NFT-related functionality. Discord integration features require you to authorize our bot in your Discord server.

3. Account Registration

You may access the Service by: (a) authenticating with Discord OAuth, which links your Discord account to your Apetopia account; or (b) connecting a Solana wallet (e.g. Phantom). By authenticating, you represent that you are the legitimate owner or authorized user of that account or wallet.

You are responsible for maintaining the security of your Discord account, wallet, and any actions taken through your Apetopia account. You may register one or more NFT collections or Discord servers that you own or are authorized to manage. Providing false ownership information is grounds for immediate account termination.

4. Subscription & Payments

The Free Plan is available at no cost with limited features. The Pro Plan is available via monthly or annual subscription paid in USD through PayPal. Current pricing is published at apetopia.co/pricing and may change at any time. Existing active subscriptions will not be affected until their expiration date.

PayPal subscriptions auto-renew on the selected billing cycle (monthly or annual) and can be cancelled at any time through your PayPal account. Cancellation takes effect at the end of the current billing period — you retain access to Pro features until then.

All payments are final and non-refundable except where required by applicable law or at our sole discretion. We reserve the right to modify, suspend, or discontinue any plan or feature at any time.

5. Affiliate Program

Apetopia operates a referral affiliate program. By joining the program, you agree to the following additional terms:

Commissions are earned at 20% of each qualifying payment made by referred users
Commissions are recurring for as long as the referred community maintains an active paid subscription
A minimum balance of $100 USD is required to request a payout
Payouts are made via PayPal only
Self-referrals (referring your own accounts) are strictly prohibited and will result in disqualification
Commissions are voided and may be clawed back if the referred community cancels, requests a refund, or is terminated for cause
We reserve the right to modify commission rates, payout minimums, or terminate the affiliate program at any time with reasonable notice
Fraudulent referral activity (including click fraud or fake sign-ups) will result in permanent ban and forfeiture of all earned commissions

6. AI-Powered Features

Apetopia includes AI-powered features under the Silverback AI brand, including community chat, server reports, community digests, alerts, insights, and campaign builder tools. These features are powered by large language models provided by Anthropic (Claude API).

By using Silverback AI features, you acknowledge that: (a) your prompts, community data, and conversation content may be processed by Anthropic's API to generate responses; (b) AI-generated content may be inaccurate, incomplete, or not suitable for all purposes — always review before acting on AI output; (c) you remain responsible for any decisions made based on AI-generated content.

We do not use your data to train AI models. Anthropic's data processing is governed by their own privacy policy and terms of service.

7. Acceptable Use

You agree not to:

Use the Service for any unlawful purpose or in violation of any regulations
Attempt to circumvent subscription checks or payment verification
Use wash trading or other fraudulent means to qualify for any plan benefit
Interfere with or disrupt the integrity or performance of the Service
Scrape, copy, or reverse-engineer any part of the platform
Register collections or Discord servers you do not own or have authorization to manage
Use the Discord bot to send spam, harass members, or violate Discord's Terms of Service
Abuse AI features to generate harmful, illegal, or misleading content
Engage in fraudulent affiliate activity including self-referrals or fake conversions

8. Blockchain Data & Third-Party Services

The Service relies on blockchain data from the Solana and Ethereum networks and third-party providers including Helius and Magic Eden. We do not guarantee the accuracy, completeness, or availability of this data. On-chain data is public and immutable — we cannot modify or delete transaction records.

Discord integration requires you to authorize our bot in your server and configure permissions. You are responsible for the configuration and any actions the bot takes within your server based on your settings. Our use of Discord data is also subject to Discord's Developer Terms of Service.

9. Intellectual Property

The Apetopia platform, its design, code, and branding are owned by Apetopia and protected by applicable intellectual property laws. NFT metadata, images, and collection data displayed through the Service remain the property of their respective owners.

By registering your collection or community, you grant us a limited, non-exclusive license to display your collection's name, logo, NFT metadata, and community information within the Service for the purpose of providing the platform features, including on your public community hub page.

10. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, express or implied. We do not warrant that the Service will be uninterrupted, error-free, or free of viruses. We make no representations about the accuracy of holder data, floor prices, analytics, or AI-generated content provided through the platform.

11. Limitation of Liability

To the maximum extent permitted by law, Apetopia shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising from your use of the Service. Our total liability for any claim shall not exceed the amount you paid to us in the 12 months preceding the claim.

12. Termination

We reserve the right to suspend or terminate your access to the Service at any time for violation of these terms, suspected fraud, or any reason we deem necessary, with or without notice. You may stop using the Service at any time. Active subscriptions terminated for cause are not eligible for refunds. Any outstanding affiliate commissions are forfeited upon termination for cause.

13. Changes to Terms

We may update these Terms at any time. Continued use of the Service after changes are posted constitutes acceptance of the new terms. We will attempt to notify users of material changes via the platform.
